The Corporate Counsel is responsible for managing and overseeing all legal matters for Norwich Technologies and its affiliated entities, including Norwich Solar and Breakaway Renewables.

COMPANY OVERVIEW
Norwich Technologies is an established clean-energy company specializing in the development, design, and construction of renewable energy projects across the Northeast. Through its subsidiaries—Norwich Solar, the EPC and construction management division, and Breakaway Renewables, the project development arm—Norwich Technologies delivers high-quality, community-focused solar and energy-storage solutions.
We are seeking a Corporate Counsel to provide in-house legal oversight and strategic guidance across the company’s corporate, development, and EPC operations.

POSITION SUMMARY
The Corporate Counsel is responsible for managing and overseeing all legal matters for Norwich Technologies and its affiliated entities, including Norwich Solar and Breakaway Renewables. This position will review, negotiate, and advise on EPC contracts, MIPAs (Membership Interest Purchase Agreements), corporate governance, compliance, real estate transactions, and entity management. The Counsel will also serve as the primary liaison with outside counsel, ensuring efficient and cost-effective use of external legal resources.
This role reports directly to the CEO and collaborates closely with executive management, project development, and finance teams.

KEY RESPONSIBILITIES
General Corporate Strategy and Advisement
● Consult and advise the Board on strategic and critical corporate matters.
● Lead significant corporate initiatives as required

EPC Contract Review and Management (Norwich Solar)
● Draft, review, and negotiate Engineering, Procurement, and Construction (EPC) agreements, subcontracts, and vendor terms.
● Advise on contractual risk allocation, indemnities, warranties, and performance security.
● Support project managers and executives in resolving contract-related disputes or claims.
● Ensure compliance with applicable state and federal construction laws and renewable-energy regulations.

MIPA Review and Negotiation (Breakaway Renewables)
● Review and negotiate Membership Interest Purchase Agreements (MIPAs) and related project transfer documents for development-stage solar assets.
● Evaluate representations and warranties, indemnities, and risk provisions tied to project acquisitions and dispositions.
● Coordinate due diligence processes for project buyers, investors, and lenders.
● Support financial closings and corporate restructuring activities as needed.

Breakaway “Engagement”
● Provide strategic input to Breakaway direction and longer-term activities.
● As appropriate help advance projects outside of Corporate Counsel role.

Corporate Oversight and Governance (Norwich Technologies)
● Manage process to oversee corporate legal matters for Norwich Technologies and all special purpose entities (LLCs).
● Maintain compliance with state registration, annual reports, and governance requirements.
● Advise management on corporate structure, member agreements, and inter-company transactions.
● Prepare and maintain corporate records, resolutions, and minutes.

Real Estate and Transactional Oversight (Norwich Technologies)
● Support site control agreements, leases, and easements for solar projects.
● Oversee title reviews, survey coordination, and closing documentation.
● Work with lenders, title companies, and development partners to ensure clear property rights and compliance.

Regulatory Compliance and Risk Management
● Monitor and interpret applicable energy, environmental, and tax regulations impacting project development and construction.
● Develop and implement policies for internal compliance, confidentiality, and contracting.
● Ensure all projects and affiliates maintain compliance with corporate and permitting obligations.

Coordination with Outside Counsels (Corporate / Client / Regulatory)
● Engage and manage outside counsel for specialized matters including project finance, tax, permitting, and litigation.
● Oversee scope, budget, and deliverables to ensure alignment with company priorities.
● Serve as internal point of contact consolidating business input for efficient communication with external legal teams including:

QUALIFICATIONS
● J.D. degree from an accredited law school and active bar membership in Vermont or eligibility for in-house counsel registration.
● Minimum 5–8 years of experience in corporate, transactional, or project-finance law—renewable-energy or construction experience strongly preferred.
● Proven ability to review and negotiate complex commercial contracts (EPC, MIPA, real estate, financing).
● Familiarity with corporate structuring, LLC management, and intercompany governance.
● Excellent communication, judgment, and interpersonal skills.
● Ability to work independently, prioritize multiple projects, and operate in a dynamic, growth-oriented company.

PREFERRED ATTRIBUTES
● Experience with renewable-energy tax credits, project development transactions, or power purchase agreements.
● Exposure to real-estate transactions and permitting frameworks in Vermont, Maine, New Hampshire, and New York.
● Collaborative approach with a practical, solutions-focused mindset.
