Nominating Committee
About the Nominating Committee:
The Nominating Committee consists of up to seven people elected by the Board of Directors. The committee receives Board nominations from the membership and prepares and issues the notice of nominations for elections.
Nomination Process:
- Every year a “Call for Nominations” is sent to all VBSR members, asking members to nominate themselves or to nominate other people they feel could contribute as board members. In most years the Call For Nominations is sent out in September, around Labor Day.
- Each nominee is asked to complete and submit a Board Nomination Questionnaire/Background Form to aid the Nominating Committee and the Board in their goal of maintaining a diverse, engaged and committed board of directors for VBSR. This form is available at:
Board Nomination Questionnaire and Background Form [24kb]
- The Board-appointed nominating committee meets to consider the nominations. The committee looks for a balance on the board of the following factors:
- geographic location
- company size
- business sector
- gender
- skills and interests.
- A demonstrated commitment to the mission and principles of VBSR is also essential. The nominating committee may conduct interviews, and reviews the above factors based on those interviews as well as the applications of each nominee.
- Once the board approves the slate, a ballot with the names of the nominees and brief biographies is sent to all VBSR members.
- Members vote by ballot or in person at the annual meeting, usually held in late October or early November in conjunction with the annual Fall Conference.
- After the annual meeting in odd-numbered years the newly elected board organizes itself and chooses its own officers for terms of two years.
- By late fall the committee comes up with a recommended list of new members to be nominated (a "slate" ) to recommend to the full board, which then can approve or change the slate.
- A Nomination Questionnaire and Background Form may be submitted at any time during the year for review by the Nominating Committee at a scheduled Committee meeting. If there are unfilled Board positions, the Nominating Committee may review and forward nominations to the Board of Directors for its review at a scheduled meeting. The Board may appoint directors to unfilled board positions at any scheduled meeting.
